1. Agreement to Terms

These Terms of Service govern your access to and use of the aiagentmindset.com website and any AI voice, WhatsApp, chatbot, or related automation services you book with AI Agent Mindset ("we," "us"). By using our website or engaging our services, you agree to these terms. If you're accepting on behalf of a business, you confirm you have authority to do so.

2. About AI Agent Mindset

AI Agent Mindset is an AI automation agency that designs, builds, and supports custom AI voice agents, WhatsApp agents, chatbots, CRM automations, and related services for businesses. is the operating entity; further registration details will be added once confirmed internally.

3. Eligibility

Our services are intended for businesses and individuals acting in a business capacity, and are not directed at consumers under the age of 18. By using our services you confirm you are able to form a binding contract under the laws applicable to you.

4. Description of Services

We offer AI Voice Agents, AI WhatsApp Agents, CRM & sales automation, marketing automation, AI website chatbots, website development, SEO/GEO/AEO, and RAG/knowledge-base systems. The exact scope, deliverables, and timeline for any engagement are defined in a proposal or statement of work agreed with you, not solely by marketing descriptions on this website.

5. Strategy Calls and Consultations

Free strategy calls are scheduled via our Calendly-powered booking page and may require a refundable token amount to confirm the slot, as shown at the time of booking. A strategy call is a consultation, not a guarantee of a specific proposal, price, or outcome.

6. Proposals and Statements of Work

Following a strategy call, we may provide a proposal or statement of work describing the specific deliverables, timeline, and fees for your project. Where these terms and a signed proposal or statement of work conflict, the signed document controls for the matters it specifically addresses.

7. Client Responsibilities

You are responsible for providing accurate business information needed to configure your AI agent, for reviewing configuration and test conversations before go-live, for obtaining any consents required to message or call your own customers, and for promptly flagging issues so we can address them.

8. Account and Access Security

Where we provide you with access to a dashboard, CRM, or other system, you are responsible for keeping login credentials confidential and for activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

9. AI Voice Agent Services

Our AI voice agents answer calls, qualify leads, and can book appointments using natural-language conversation. Voice quality, latency, and language support depend in part on third-party voice/AI infrastructure and telephony providers, and can vary with network conditions and call complexity.

10. WhatsApp Automation Services

Our WhatsApp agents connect to your business's WhatsApp Business number via the official WhatsApp Business API. You are responsible for maintaining that WhatsApp Business account in good standing; Meta's own policies (including messaging and opt-in requirements) apply in addition to these terms.

11. CRM and Third-Party Integrations

Where your project integrates with a CRM or automation platform (such as HubSpot, Salesforce, Zapier, or Make), functionality depends on that third party's API availability and terms. We are not responsible for outages, pricing changes, or policy changes made by third-party platforms we integrate with.

12. AI-Generated Outputs

Responses generated by our AI agents are produced using large language models and related AI services and may occasionally be inaccurate, incomplete, or inappropriate for a given context. Outputs should be treated as assistive, not authoritative, particularly for anything consequential.

13. Human Review and Accuracy

We design our agents with escalation paths to a human where appropriate, but we do not guarantee that every edge case will be caught automatically. Clients are encouraged to review agent conversations periodically, especially in the weeks after go-live.

14. Prohibited Uses

You may not use our services for unlawful, deceptive, or harmful purposes. See our Acceptable Use Policy for the full list of prohibited uses, which is incorporated into these terms by reference.

15. Fees and Payment

Fees for our services are set out in your proposal, statement of work, or at the point of booking (e.g. the token amount shown on our booking page). Unless stated otherwise in writing, fees are due in the currency and on the schedule specified at the time of purchase.

16. Taxes

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any sales, service, GST, or similar taxes associated with your purchase, other than taxes based on our net income.

17. Subscription and Recurring Services

Some services (such as ongoing AI agent hosting, monthly retainers, or SEO/GEO/AEO retainers) are billed on a recurring basis as set out in your proposal. Recurring fees continue until the service is cancelled in accordance with Cancellation below or as otherwise agreed in writing.

18. Setup and Implementation Fees

Custom implementation projects typically involve a one-time setup or implementation fee covering discovery, configuration, and testing, in addition to any recurring fee for ongoing operation. Setup fees reflect work performed regardless of whether you continue the service afterward.

19. Cancellation

Either party may cancel an ongoing/recurring service by written notice. Specific notice periods, effective dates, and any commercial terms for a given engagement are set out in your proposal or statement of work; see our Refund & Cancellation Policy for the general framework we apply.

20. Refunds

Refunds are handled under our Refund & Cancellation Policy. In general, fees for work already performed, third-party costs already incurred on your behalf, and completed milestones are not refundable.

21. Intellectual Property

We retain ownership of our pre-existing tools, templates, prompt frameworks, and know-how used to deliver services. Upon full payment, you receive the rights specified in your proposal to use the custom configuration, content, and deliverables built specifically for you.

22. Client Materials

You retain ownership of the business information, branding, and content you provide us (your "Client Materials"). You grant us a license to use Client Materials solely to build, operate, and support the services you've engaged us for.

23. Feedback

If you send us suggestions or feedback about our services, we may use it to improve our offerings without obligation to you, unless we agree otherwise in writing.

24. Confidentiality

Each party agrees to protect the other's non-public business information shared in the course of the engagement with reasonable care, and to use it only for purposes of the engagement, except where disclosure is required by law.

25. Third-Party Services

Our services rely on third-party infrastructure and platforms (for example, cloud AI providers, telephony/messaging providers, CRMs, and payment processors). Each has its own terms, and outages, policy changes, or pricing changes by those providers may affect our services in ways outside our control.

26. Availability and Service Changes

We aim to keep our services running reliably but do not guarantee uninterrupted availability unless a specific uptime commitment is agreed in a signed written agreement. We may modify, suspend, or discontinue features of our services with reasonable notice where practical.

27. No Guarantee of Business Results

Results vary by business

Figures referenced in our marketing — such as businesses automated, conversion lift, conversations handled, or deployment timelines — describe results observed across our client base or illustrative outcomes, not a guarantee for your specific business. Your results depend on your industry, offer, call/message volume, and how the agent is configured and maintained.

28. No Guarantee of AI Accuracy

AI models can produce incorrect, outdated, or nonsensical output ("hallucinations"). We do not guarantee that any AI agent's responses will always be accurate, complete, or appropriate, and recommend human review for anything consequential.

29. Lead and Conversion Disclaimer

We do not guarantee a specific number of leads, appointments, conversions, or revenue outcomes. Marketing statistics referencing average lift or volume reflect aggregate or illustrative data and are not a promise of similar results for your business.

30. Limitation of Liability

To the maximum extent permitted by law, AI Agent Mindset will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of our services. Our total liability for any claim will not exceed the fees you paid us for the specific service giving rise to the claim in the three months before the claim arose, except where a signed agreement states otherwise or where liability cannot be limited under applicable law.

31. Indemnification

You agree to indemnify and hold us harmless from third-party claims arising from your misuse of our services, your violation of these terms or applicable law, or content/instructions you provided us to configure your AI agent.

32. Suspension and Termination

We may suspend or terminate access to our services if you materially breach these terms (including the Acceptable Use Policy), fail to pay fees when due, or where continuing to provide the service would create legal or security risk. Where practical, we will give notice and an opportunity to cure first.

33. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including outages of third-party AI, cloud, telephony, or payment providers, natural disasters, or government action.

34. Governing Law

These terms are governed by the laws of , without regard to conflict-of-law principles, unless a signed agreement with you specifies otherwise. The exact court venue for disputes will be confirmed and published here once finalized.

35. Dispute Resolution

We encourage resolving concerns directly with our team first — contact us using the details below. Where a dispute cannot be resolved informally, it will be handled in accordance with the governing law and venue described above, or as otherwise specified in a signed agreement between us.

36. Changes to Terms

We may update these terms from time to time. We'll update the "Last updated" date above when we do; continued use of our services after an update means you accept the revised terms.
